1. Agreement to Terms

By accessing or using Unbusy ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Unbusy is operated by Unbusy LLC ("we", "us", or "our").

2. Description of Service

Unbusy provides AI-powered voicemail automation and business communication tools ("Service"). The Service allows businesses to automatically transcribe, categorize, and manage voicemail messages received on their phone lines.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By registering, you represent that all information you provide is accurate and current.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

3.3 Company Accounts

If you create an account on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. Acceptable Use Policy

4.1 Permitted Use

You may use Unbusy only for lawful business purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Transmit spam, harassment, threats, or abusive content
  • Violate the Telephone Consumer Protection Act (TCPA) or Do Not Call regulations
  • Make calls or send messages without proper consent from recipients
  • Impersonate another person or company
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to compete with us or build a similar product
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Upload viruses, malware, or malicious code
  • Violate any third party's intellectual property rights

4.3 Compliance Responsibilities

You are responsible for:

  • Obtaining proper consent before calling or messaging any phone number
  • Complying with TCPA, Do Not Call lists, and all telemarketing laws
  • Ensuring your use of the Service complies with all applicable laws
  • Any claims arising from calls made using your account

We do not verify consent or legal compliance. You represent and warrant that you have obtained all necessary permissions to use phone numbers in connection with the Service.

5. Subscription and Billing

5.1 Subscription Plans

Unbusy offers monthly subscription plans. Pricing is displayed on our website and may change with notice.

5.2 Payment Terms

  • Subscriptions are billed monthly in advance
  • Payment is due immediately upon subscription
  • All fees are non-refundable except as stated in our Refund Policy
  • You authorize us to charge your payment method automatically each billing period

5.3 Founding Member Pricing

The first 20 customers receive Founding Member pricing ($19/month), which is locked in for life as long as the subscription remains active. If you cancel, you lose your Founding Member rate.

5.4 Price Changes

We may change our prices with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

5.5 Payment Failures

If your payment fails:

  • We will attempt to charge your payment method again
  • You have a 7-day grace period to update your payment information
  • After 7 days of non-payment, your subscription may be terminated

5.6 Taxes

Prices do not include applicable sales tax, VAT, or other taxes. You are responsible for all taxes associated with your subscription. We will add applicable taxes to your invoice based on your location.

6. Free Trial

6.1 Trial Terms

New accounts receive a 7-day free trial OR 10 voicemails (whichever comes first). No credit card is required to start a trial.

6.2 Trial Limitations

  • One trial per business phone number
  • One trial per email address
  • One trial per email domain (for business emails)
  • We reserve the right to deny trials for suspected abuse

6.3 After Trial

When your trial ends, you must add a payment method to continue using the Service. Your data will remain accessible in read-only mode until you upgrade.

7. Refund Policy

We offer a 14-day money-back guarantee. If you're not satisfied with Unbusy for any reason, request a refund within 14 days of your first payment and we'll issue a full refund, no questions asked. The refund guarantee only applies to the first payment and is not applicable for any other months.

We reserve the right to deny refunds for abuse, fraud, or excessive usage.

8. Data and Privacy

8.1 Your Data

You retain all rights to the data you upload or create using the Service, including voicemail recordings and transcriptions.

8.2 Our Use of Data

We use your data only as described in our Privacy Policy. We will not sell your data to third parties.

8.3 Data Retention

  • Active accounts: We retain all data as long as your subscription is active
  • Canceled accounts: You have 30 days to export your data after cancellation
  • After 30 days: We may delete your data from our systems

8.4 Data Export

You may export your voicemail recordings and transcriptions at any time from your account settings.

8.5 Third-Party Services

The Service uses third-party providers (Twilio, OpenAI, Anthropic, Stripe) to deliver functionality. By using Unbusy, you acknowledge these providers may process your data according to their own terms and privacy policies.

9. Intellectual Property

9.1 Our IP

The Service, including all software, text, displays, images, and code, is owned by us and protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes. This license terminates when your subscription ends.

9.3 Feedback

If you provide us with feedback or suggestions, we may use them without any obligation to you.

10. Termination

10.1 Your Right to Terminate

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

10.2 Our Right to Terminate

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails and you don't remedy it within 30 days
  • We believe your use poses a security or legal risk
  • We discontinue the Service (with 30 days' notice)

10.3 Effect of Termination

Upon termination:

  • Your access to the Service will end
  • You will have 30 days to export your data
  • We are not liable for any data loss after 30 days
  • Outstanding fees remain due and payable

11. Warranties and Disclaimers

11.1 As-Is Service

The service is provided "as is" and "as available" without warranties of any kind, express or implied.

11.2 No Warranty

We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.3 Service Availability

We do not guarantee:

  • Uninterrupted or error-free access to the Service
  • That the Service will meet your specific requirements
  • That all voicemails will be accurately transcribed
  • That AI summaries will be 100% accurate

11.4 AI Limitations

AI-generated transcriptions and summaries may contain errors. You should review important voicemails before taking action based on them.

12. Limitation of Liability

12.1 Maximum Liability

To the maximum extent permitted by law, our total liability to you for any claims related to the service is limited to the amount you paid us in the 12 months before the claim.

12.2 Excluded Damages

We are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Service interruptions or errors
  • Third-party actions or content
  • Missed calls or voicemails due to Service issues

12.3 State Law

Some states do not allow limitations on implied warranties or liability, so the above may not fully apply to you.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of any third party's rights
  • Calls or messages made using your account

14. TCPA and Telemarketing Compliance

14.1 Your Responsibility

You are solely responsible for compliance with:

  • Telephone Consumer Protection Act (TCPA)
  • Telemarketing Sales Rule (TSR)
  • Do Not Call Registry requirements
  • Any state or local telemarketing laws
  • CAN-SPAM Act (for any email features)

14.2 Required Consent

You represent and warrant that you have obtained proper consent (express written consent where required) before calling, texting, or otherwise contacting any phone number using the Service.

14.3 Our Role

We are a technology platform provider. We do not:

  • Verify consent on your behalf
  • Manage Do Not Call lists
  • Ensure compliance with telemarketing laws
  • Assume liability for your calling practices

14.4 Violations

If we receive credible reports of TCPA violations from your account, we may suspend or terminate your access immediately.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting a notice on our website
  • Sending an email to your registered address

Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes will be resolved in the state or federal courts located in Alabama. You consent to personal jurisdiction in these courts.

16.3 No Class Actions

You agree to resolve disputes individually, not as part of a class action or consolidated proceeding.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

17.3 No Waiver

Our failure to enforce any right or provision is not a waiver of that right.

17.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights to any affiliate or successor.

17.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control.
